Wildcat Defense agrees to acquire Fraser Industries in US shipbuilding expansion

Wildcat Defense, part of Wildcat Equity Partners, has signed an exclusive agreement with the owners of Fraser Industries to acquire the US maritime company based in Superior, Wisconsin. The proposed transaction covers Fraser Shipyards, Lake Assault Boats, Northern Engineering and Fraser Terminal.

According to an announcement issued on 21 October by The McLean Group, which served as the exclusive investment banker to Fraser Industries, the agreement forms part of Wildcat’s strategy to expand US shipbuilding and ship repair capacity. The companies expect the transaction to close in approximately three months, meaning the acquisition has not yet been completed.

Wildcat also expects to invest US$350 million in Fraser’s shipyard operations to expand manufacturing facilities and increase the workforce. The amount represents a planned investment in the business and its infrastructure, rather than the acquisition price, which was not disclosed.

Investment plans for Fraser’s shipyard operations

Fraser Industries operates from a 100-acre site in Superior, Wisconsin, with activities spanning shipbuilding, vessel maintenance, repair, engineering and maritime terminal services. Its businesses serve commercial and government customers, including operators on the Great Lakes.

Fraser Shipyards, established in 1888, provides maintenance, repair and overhaul services for the Great Lakes fleet, alongside new vessel construction for commercial and military customers. Lake Assault Boats specialises in designing and building customised aluminium vessels for commercial and defence applications.

The planned investment is intended to support the expansion of Fraser’s manufacturing footprint and workforce, building on development initiatives already under consideration at the shipyard. The announcement does not establish that the full investment has been committed or deployed.

Patrick Kelly, Fraser’s current co-owner and CEO, and his management team are expected to retain important roles within the company.

Existing partnerships and future shipbuilding opportunities

Under the proposed ownership structure, Fraser is expected to maintain its existing cooperation with Fincantieri and Donjon shipyards in pursuing the US Coast Guard’s programme for seven light icebreakers.

The companies also intend to explore further partnerships with technology providers as part of their plans to strengthen shipbuilding and repair capabilities. These initiatives remain prospective and should not be interpreted as confirmed vessel construction contracts.

The proposed acquisition follows Wildcat Defense’s earlier offer for Austal USA and reflects the company’s stated interest in expanding American maritime industrial capacity.

Wildcat Defense operates within Wildcat Equity Partners, a privately held US investment firm focused on strategically important industries, including maritime infrastructure, advanced manufacturing and defence technology.

The acquisition agreement marks a further step in Wildcat’s shipbuilding expansion plans. However, the ownership transfer remains pending, while the proposed US$350 million investment will depend on the implementation of the company’s future development programme.
