NYK secures shareholder commitments for planned NS United Kaiun acquisition

NYK Line has signed agreements with nine shareholders of NS United Kaiun covering 1,235,220 shares, representing approximately 5.24% of the Japanese shipping company’s outstanding shares excluding treasury stock, as it advances its proposed acquisition of the dry bulk operator.
The agreements, signed on 6 November 2026, establish commitments from the shareholders to tender their holdings into NYK’s planned public tender offer, subject to the offer commencing and the relevant contractual provisions.
The development follows NYK’s July announcement of a transaction intended to make NS United Kaiun a consolidated subsidiary and ultimately leave NYK and Nippon Steel as its only shareholders, with ownership interests of 83.33% and 16.67%, respectively.
The latest agreements increase the level of committed shareholder participation ahead of the proposed transaction, although the tender offer has not yet commenced and its completion remains subject to applicable conditions.
Nine shareholders agree to participate
The shareholders entering into tender agreements include Hsin Chien Marine, Mizuho Bank, Imabari Shipbuilding, The Norinchukin Bank, Naikai Tug Boat Service, Namura Shipbuilding, Toko Kaiun Kaisha, Naikai Zosen Corporation and Kawahata Marine Corporation.
Together, they hold 1,235,220 shares in NS United Kaiun, equivalent to 5.24% of the company’s outstanding shares excluding treasury stock.
Hsin Chien Marine represents the largest individual commitment, with 504,840 shares, or approximately 2.14%, followed by Mizuho Bank with 400,000 shares, representing 1.70%.
The agreements generally require the participating shareholders to tender their holdings if NYK’s offer begins and not withdraw them, although certain agreements provide exceptions, including circumstances involving competing offers.
NYK disclosed the commitments through a correction to its original tender offer announcement of 31 July 2026, incorporating the new agreements into the transaction documentation.
Acquisition targets expansion of dry bulk operations
Under the original transaction framework, NYK plans to acquire additional shares in NS United Kaiun through a public tender offer priced at ¥10,600 per share.
The proposed offer covers up to 11,379,482 shares, representing approximately 48.29% of the target company’s outstanding shares excluding treasury stock, with a minimum acceptance threshold of 3,524,375 shares, or 14.96%.
The nine newly committed shareholders account for part of this minimum requirement but do not, by themselves, satisfy it.
A subsequent share repurchase transaction involving Nippon Steel forms part of the wider restructuring, which is intended to establish NYK as the controlling shareholder of NS United Kaiun.
NS United Kaiun operates international and domestic shipping businesses, with a significant presence in dry bulk transportation, including cargoes serving the steel industry. Its activities also extend to energy-related shipping and chartering.
NYK has identified the acquisition as an opportunity to strengthen its dry bulk operations, expand relationships with industrial customers and improve coordination across its shipping portfolio.
Transaction remains subject to conditions
The newly signed shareholder agreements represent a further step towards implementing the acquisition, but they do not constitute completion of the tender offer.
The transaction continues to depend on the required regulatory and other approvals, including applicable competition clearances, as well as the satisfaction of the tender offer conditions.
Under the transaction schedule previously announced by NYK, the wider restructuring was expected to be completed in April 2027, although the timetable remains subject to change.
The latest development provides additional shareholder support for NYK’s planned consolidation of NS United Kaiun, strengthening its position as it prepares to proceed with the acquisition process.
