Alfa Laval agrees to acquire NAVTOR in major maritime software deal

Alfa Laval has entered into a definitive agreement to acquire Norwegian maritime software company NAVTOR for US$700 million in cash, significantly expanding its position in digital navigation, vessel performance management and maritime operational software.

Announced on 6 November 2026, the transaction is expected to close during the first quarter of 2027, subject to customary regulatory approvals. The purchase price is equivalent to approximately SEK 6.85 billion, with the acquisition to be financed through a combination of Alfa Laval’s existing cash resources and funding programmes.

The agreement represents one of Alfa Laval’s largest acquisitions to date and adds another major maritime technology business to its digital portfolio. Following completion, NAVTOR will join the group’s Ocean Division, alongside its existing StormGeo and Portchain platforms.

The proposed combination will bring together navigation software, voyage optimisation, vessel performance monitoring and port call coordination within a broader maritime technology portfolio.

NAVTOR to join StormGeo and Portchain

NAVTOR develops digital navigation and fleet management solutions used by shipping companies to manage vessel operations, navigational information and ship-to-shore workflows.

Founded in 2011 and headquartered in Norway, the company employs approximately 400 people across 13 offices and serves customers in more than 90 countries.

NAVTOR expects to generate revenue of approximately US$194 million in 2026, according to figures disclosed in the acquisition announcement.

Its software portfolio includes electronic navigation systems, vessel performance solutions and tools connecting onboard operations with shore-based fleet management teams.

The acquisition will expand Alfa Laval’s maritime digital capabilities beyond the services already provided through StormGeo, which specialises in weather intelligence and voyage optimisation.

StormGeo recently acquired Portchain, a maritime software company whose solutions support coordination between container carriers and terminals through shared port call and berth planning information.

Bringing NAVTOR into the same group would broaden Alfa Laval’s portfolio across several stages of vessel operations, from navigation and route planning to performance management and coordination with ports.

The companies have not announced a detailed technical integration timetable or confirmed that their software platforms will be merged into a single product.

Alfa Laval expands its maritime digital strategy

Alfa Laval’s planned acquisition reflects its continued investment in software and data-driven solutions alongside its established marine equipment and engineering activities.

The company intends to strengthen its position in maritime digital services by combining NAVTOR’s onboard navigation technologies with the operational intelligence and optimisation capabilities of StormGeo and Portchain.

“With this acquisition, Alfa Laval will expand its digital offering at a time when real-time decision-making is increasingly complex,” said Tom Erixon, President and CEO of Alfa Laval.

The proposed combination could give shipowners and operators access to a wider range of digital services under the same corporate group, covering navigation, fleet performance and voyage planning.

However, the extent of product integration and the commercial benefits for customers will depend on decisions taken after the acquisition is completed.

For Alfa Laval, the transaction also represents a substantial expansion of its software business within the Ocean Division, adding NAVTOR’s customer relationships, technology portfolio and international operations.

Compliance matters disclosed ahead of acquisition

The acquisition announcement also disclosed that NAVTOR had identified and reported certain compliance matters following an internal review.

According to Alfa Laval, these findings led NAVTOR to introduce an enhanced internal control and compliance programme.

The company stated that arrangements concerning protection against potential pre-acquisition liabilities had been deferred, while expressing confidence that the identified matters would be resolved.

Alfa Laval did not disclose the nature of the compliance issues, their potential financial implications or a timetable for their resolution.

The group expects the acquisition to have a neutral effect on its overall profit margin in the short term.

Transaction expected to close in early 2027

The acquisition remains subject to regulatory approvals and other customary closing conditions, with completion currently anticipated during the first quarter of 2027.

Until the transaction closes, NAVTOR remains outside Alfa Laval’s corporate group.

Alfa Laval plans to provide further information about the strategic rationale and financial implications of the agreement at its Capital Markets Day on 18 November 2026.

The announcement follows StormGeo’s acquisition of Portchain in October, extending Alfa Laval’s investment in maritime software at a time when shipowners, operators and terminals are increasingly using digital systems to manage vessel performance and coordinate operations.

With NAVTOR added to its portfolio, Alfa Laval is positioning itself to offer a broader range of maritime digital capabilities, although the practical integration of the businesses and their technologies remains a future development.
