Navigator Gas advances plans to relocate corporate domicile to UK

Navigator Holdings Ltd., the parent company of Navigator Gas, has taken a further step towards relocating its corporate domicile from the Marshall Islands to England and Wales through a proposed merger and corporate restructuring.

The company entered into an Agreement and Plan of Merger on 8 October 2026 with its wholly owned English subsidiary, Navigator Gas plc, and Navigator Gas Merger Co Inc., a subsidiary of the proposed new parent company.

The transaction remains subject to shareholder approval and other closing conditions.

Proposed merger would establish new UK parent company

Under the proposed structure, Navigator Holdings will merge into Navigator Gas Merger Co Inc., which will continue as a wholly owned subsidiary of Navigator Gas plc.

Each existing Navigator Holdings common share will be converted into one ordinary share of Navigator Gas plc.

Following completion, Navigator Gas plc will become the publicly traded parent company of the Navigator group.

The company intends to maintain its listing on the New York Stock Exchange under the existing ticker symbol NVGS.

The transaction is designed to change the group’s corporate domicile rather than transfer control to an external buyer.

Relocation aims to align corporate and operational structures

Navigator Gas said the proposed relocation would bring its legal structure into closer alignment with its existing operations.

The company maintains its executive office in the United Kingdom, where its senior management and a significant proportion of its employees are based.

The UK is also home to a number of the group’s lenders and insurers.

According to Navigator, the move is expected to provide access to an established corporate governance framework, a broad network of double taxation treaties and the UK’s tonnage tax regime for qualifying maritime businesses.

These are anticipated benefits of the proposed restructuring rather than confirmed financial outcomes.

Navigator Gas Chief Executive Officer Mads Peter Zacho said the redomiciliation would better reflect where the company is managed and operated while supporting its governance and long-term development objectives.

Shareholder vote scheduled for November

Navigator Gas has scheduled a shareholder meeting for 16 November 2026 at 9:00 a.m. US Eastern Time at the offices of Baker Botts in New York.

The proposed merger requires approval from holders of at least a majority of the company’s issued and outstanding common shares entitled to vote.

The company has filed a definitive proxy statement with the US Securities and Exchange Commission (SEC), with distribution to eligible shareholders expected around 16 October 2026.

Shareholders of record as of 16 October 2026 will be entitled to participate in the vote.

Navigator Gas does not expect the proposed restructuring to materially affect its employees, day-to-day operations or services provided to customers.

Completion remains conditional on the required shareholder approval and the other provisions of the merger agreement.
