Fincantieri and Prysmian complete Xtera acquisition

Fincantieri and Prysmian have completed the acquisition of Xtera Topco Limited through their jointly owned venture, expanding their activities in subsea telecommunications infrastructure.

The transaction, announced on 13 October 2026, follows the initial acquisition announcement in December 2025.

The joint venture is owned 80% by Prysmian and 20% by Fincantieri, bringing Xtera’s subsea telecommunications capabilities into a business combining cable manufacturing, installation and underwater systems integration.

Xtera, which operates in the United Kingdom and the United States, specialises in turnkey subsea telecommunications systems.

Acquisition expands subsea technology capabilities

The acquisition brings together Xtera’s optical engineering expertise with Prysmian’s submarine cable manufacturing and installation activities and Fincantieri’s experience in complex systems integration.

According to Fincantieri, the transaction is intended to expand the range of solutions available through its partnership with Prysmian, particularly in subsea infrastructure development, monitoring and protection.

The companies are seeking to combine their respective technical capabilities across different stages of subsea telecommunications projects.

The acquisition also extends Fincantieri’s involvement in underwater infrastructure beyond its established shipbuilding and maritime technology activities.

Partnership targets subsea infrastructure development

Fincantieri has identified underwater infrastructure as an area of strategic development, with subsea telecommunications forming part of its broader activities in the sector.

The acquisition comes amid increasing attention to the reliability and security of submarine cable networks, which carry international telecommunications traffic.

Through the partnership, Fincantieri intends to contribute systems integration and related technologies, while Prysmian provides expertise in submarine cable systems.

The companies also plan to develop capabilities related to monitoring and protecting underwater infrastructure.

Financial terms of the completed acquisition were not disclosed in the announcement.
