Danaos explores minority stake sale in dry bulk business

Danaos Corporation is considering the sale of a minority stake in its dry bulk shipping business as part of a potential carve-out that could also involve a listing in the Norwegian market.
The company has appointed investment banking firms to advise on the possible equity placement and listing. Danaos said the initiative forms part of its broader strategy focused on value creation and shareholder returns, although no decision has been made to proceed with a transaction.
The dry bulk operations are held through Danaos Bulk Inc., which currently oversees a fleet of 11 Capesize vessels in operation and four Newcastlemax bulk carriers under construction. The four newbuildings are scheduled for delivery in 2028.
Potential transaction remains under consideration
The proposed carve-out would involve Danaos exploring the sale of a minority interest in its dry bulk segment, with investment banking advisers assessing a possible equity placement and Norwegian market listing.
Danaos has not confirmed whether the potential transaction would proceed, nor has it announced the size of the stake that might be offered, the expected valuation or a timetable for any listing.
The company also emphasised that there can be no assurance that a transaction or listing will be pursued or completed, or what its eventual terms might be.
The dry bulk business currently comprises 15 vessels, including the 11 operational Capesize carriers and four Newcastlemax newbuildings scheduled for delivery in 2028.
Danaos stated that its announcement does not constitute an offer to sell securities or a solicitation to purchase them. It also noted that the securities concerned have not been registered under the US Securities Act of 1933 and would be subject to applicable registration requirements or exemptions for any offering involving the United States.
For now, the potential minority stake sale and Norwegian listing remain under evaluation, with no definitive transaction announced.
